Are you passionate about corporate governance and policy management?

Anglicare Sydney is seeking a dedicated and skilled professional to provide high-level support to our Company Secretary and ensure effective reporting to the Anglicare Board.

This role is crucial in maintaining sound corporate governance and compliance with legal, regulatory, and Diocesan requirements. As well as being the Assistant Company Secretary, you will develop and maintain the systems, processes and activities for managing the policies and procedures framework.

With integrity and resilience, you will:

  • Prepare and distribute agendas and documents for Board meetings.

  • Attend meetings and take minutes.

  • Manage meeting logistics, including attendees, bookings, and catering.

  • Assist in the induction of new Board Members.

  • Monitor and advise on corporate governance and compliance.

  • Maintain statutory registers, governance documentation, and corporate records.

  • Develop and maintain non-clinical policy register.

  • Ensure policies and procedures are consistent, current, and published.

  • Coordinate approval processes for policies and procedures.

  • Collaborate with Clinical Governance Team for consistency in clinical policies.

  • Develop and maintain policies and procedures framework.

  • Collaborate with stakeholders to draft and communicate policies.

  • Provide training on policies and procedures.

  • Work with Digitech and People and Shared Services teams for continuous improvement.

  • Communicate effectively with key stakeholders, including Board and Executive members.

What you’ll bring:

  • Minimum 3 years of experience in company secretariat, governance, or legal roles, ideally in not-for-profit, community housing, or aged care sectors, but not essential

  • Legal qualifications or experience.

  • Corporate governance qualifications from the Governance Institute or similar.

  • Knowledge of corporate governance principles and legal/regulatory frameworks in Australia, including the Corporations Act and ACNC Act.

  • Experience with special purpose vehicles (desirable).

  • Proficiency in drafting high-level documents like Board papers, policies, procedures, minutes, and agendas.

  • Strong written communication skills for diverse audiences.

  • Analytical and problem-solving skills.

  • Stakeholder management and relationship-building abilities.

  • Intermediate to advanced computer skills (Office365, Diligent, and web-based applications).

  • Strong organisational and administrative skills with attention to detail.
